The Court-appointed Lead Plaintiffs the State of Rhode Island, Office of the General Treasurer, on behalf of the Employees’ Retirement System of Rhode Island, and Iron Workers Local 580 Joint Funds (together, “Lead Plaintiffs”), on behalf of themselves and the Settlement Class, and Defendants HP Inc. (“HP), Dion J. Weisler, Catherine A. Lesjak, Steven J. Fieler, and Enrique Lores (collectively, “Defendants”) have settled the Action for $10,500,000 in cash (“Settlement”).

On September 1, 2023, the Court held a hearing to consider final approval of the Settlement and other matters. On September 6, 2023, the Court entered a Judgment Approving Class Action, an Order Approving Plan of Allocation of Net Settlement Fund, and an Order Awarding Attorneys’ Fees and Litigation Expenses.

The Settlement Class consists of:

All persons and entities who purchased or otherwise acquired the common stock of HP between February 23, 2017 and October 3, 2019, inclusive, and were damaged thereby.

Excluded from the Settlement Class are Defendants, the Officers and directors of HP at all relevant times, members of their Immediate Families and their legal representatives, heirs, agents, affiliates, successors or assigns, Defendants’ liability insurance carriers and any affiliates or subsidiaries thereof, and any entity in which Defendants or their Immediate Families have or had a controlling interest. Also excluded from the Settlement Class are any persons and entities who or which submitted a request for exclusion from the Settlement Class that was accepted by the Court.

If you are a member of the Settlement Class, your legal rights will be affected whether you act or do not act. Please read the Notice to fully understand your rights and options. Copies of the Notice and Claim Form can be found in the menu on the left of this page.

The Court-ordered deadline for submission of Claim Forms was August 14, 2023. Nevertheless, if you believe you are a Settlement Class Member and you wish to be potentially eligible for a payment and have not yet submitted a Claim Form, you should submit your Claim Form and supporting documentation to the Claims Administrator as soon as possible. If your claim is otherwise eligible and is received while the Claims Administrator’s processing of other timely claims is still ongoing, Lead Counsel will ask the Court to accept it. However, we cannot guarantee that the Court will accept late claims in this action.

Payments to eligible claimants will be made only after any appeals are resolved and the processing of all claims is complete. Please be patient, as this process will take some time to complete.
